Deposit strength buys time while commercial lending grows

01 Running thesis

A cleaner bank waiting on execution

INDB is trying to become a steadier, more relationship-based bank after closing the Enterprise Bank deal. The basics are moving in the right direction. In Q2 2026, Rockland Trust gathered over $300 million of non-time deposits, grew C&I loans by $116 million, and lifted its commercial loan pipeline to $510 million. Wealth management is also expanding, with assets under administration reaching $9.5 billion.

That matters because C&I loans are usually tied to operating businesses, not just property values. INDB is also letting some CRE balances run off, especially office and other less attractive real estate loans. Low-coupon loan roll-offs should help net interest margin, which is the profit spread between loan income and funding cost, into 2027 and 2028.

The bear case is still real. Q2 earnings missed consensus, CRE payoffs are holding back total loan growth, and criticized office assets need to fall in the second half of 2026 for the credit story to improve. However, a key positive sign emerged when a $22 million non-performing office loan resumed interest payments in July.

The next big test is execution. Management expects $2 to $3 million of remaining core conversion costs to land mostly in Q3, with the conversion scheduled for October 2026. If that work goes poorly, the bank could lose customer trust, miss expense targets, or delay the benefits of its post-Enterprise plan.

Jul 2026Q2 2026 results showed over $300 million in non-time deposit growth and a $510 million commercial pipeline, but earnings missed consensus. A key $22 million non-performing office loan resumed interest payments.
May 2026The Q1 2026 10-Q confirmed a 3.90 percent net interest margin and a new $200 million buyback plan. Credit risk stayed in focus because non-performing loans rose to $96.6 million, led by commercial real estate.
Apr 2026Q1 2026 raised confidence in margin and capital return, including an 8.5 percent dividend increase and major buybacks. The same update added pressure on C&I growth because CRE growth expectations were lowered.
Feb 2026The 2025 10-K showed strong organic C&I growth of 9.1 percent and a 3.57 percent net interest margin. It also showed high net charge-offs of $54.6 million, shifting focus to credit and execution.
Oct 2025The Enterprise acquisition closed and the related systems conversion was completed, reducing a major overhang. Net interest margin improved to 3.62 percent, and management said client and staff retention were strong.
Aug 2025Credit quality improved faster than expected with non-performing loans dropping nearly in half, but standalone net interest margin was flat at 3.37 percent.
02 Business model

Borrow cheap, lend carefully

Rockland Trust is a classic community bank. It collects deposits from households, businesses, and municipalities, then lends that money through commercial, real estate, mortgage, and home equity loans. The bank earns the gap between loan yields and deposit costs.

Most revenue comes from net interest income. In Q1 2026, INDB reported $212.459 million of net interest income and $40.262 million of non-interest income. That means the business is still mainly a spread business, even with a meaningful wealth and fee base.

The model works best when customers keep money at the bank without demanding very high rates. Q2 2026 deposit growth was encouraging on that point. It breaks when deposit pricing rises faster than loan yields, or when CRE credit losses eat the spread.

Management is not chasing more acquisitions right now. The focus is organic growth, finishing the Enterprise integration work, remixing the loan portfolio, and proving that expenses can settle near the guided core run rate after the October conversion.

03 Product portfolio

What Rockland Trust sells

Growth engine

Commercial and industrial loans

These are loans and credit lines to operating businesses. C&I grew $116 million in Q2 2026, and management wants this to become a bigger part of the loan book.

Cash cow

Commercial real estate loans

CRE is still a large loan category and an important earner. INDB is reducing riskier office and transactional exposure as payoffs and amortization lower balances.

Cash cow

Core deposits

Deposits are the raw material for the bank. Over $300 million of Q2 2026 non-time deposit growth showed that Rockland Trust can still attract lower-cost funding.

Steady

Residential mortgages and home equity

These loans serve local households and add balance sheet diversity. They are slower moving than commercial lending and more sensitive to mortgage rates.

Growth engine

Wealth management

This business provides investment management, financial planning, and insurance services. Assets under administration grew to $9.5 billion as of June 30, 2026.

Option

Hartford loan production office

The planned Connecticut office is a new growth bet. It could add commercial relationships, but the launch timing and expected loan pace are not yet clear.

04 Business segments

Revenue is mostly spread income

Net interest income84%modest
Non-interest income16%modest

INDB does not report formal operating segments. The mix below uses Q1 2026 reported net interest income and non-interest income from the Form 10-Q, so it is a revenue activity view, not a management segment disclosure.

05 Risk factors

What can still go wrong

Office CRE credit does not heal

High impact · Medium odds

Office loans remain the most important credit risk. While a large $22 million loan resumed payments, Q1 2026 non-performing loans rose to $96.6 million. Management says the office recovery is late-stage, but that is not the same as being finished.

We watchCommercial real estate non-performing loans, criticized assets, and management's update on office credits.

October core conversion stumbles

High impact · Medium odds

A core system conversion is a bank's plumbing change. If it fails, customers can see payment, account, or service issues. Management expects remaining conversion costs mostly in Q3, but the bigger risk is operational disruption.

We watchOctober 2026 conversion status, customer complaints, deposit trends, and any extra conversion expense.

Deposit costs rise faster than loan yields

Medium impact · Medium odds

The bull case needs low-cost deposits to stay sticky. Q2 2026 deposit growth helped, but management expects spot deposit costs to drift toward 1.40 percent by year-end 2026. If customers demand higher rates, net interest margin could stop improving.

We watchSpot deposit cost, non-time deposit balances, and quarterly net interest margin.

C&I growth cannot offset CRE runoff

Medium impact · Medium odds

INDB is shrinking some CRE exposure on purpose, but that creates a growth gap. Q2 C&I growth of $116 million and the $510 million commercial pipeline are good signs. The risk is that pipelines do not turn into funded loans fast enough.

We watchFunded C&I loan growth versus CRE payoffs each quarter.

Expense targets prove too tight

Medium impact · Medium odds

The post-Enterprise story depends on cost control after conversion work ends. A key open question is whether INDB can hold the core expense run rate at $138 to $139 million in Q4 2026. If not, stronger margin may not flow through to earnings.

We watchQ4 2026 core expense run rate and any change to management's cost guidance.

Tax law uncertainty hits returns

Low impact · Medium odds

The company has disclosed risk tied to the 'One Big Beautiful Bill Act' and possible tax changes. The final impact on INDB's effective tax rate is still uncertain. A higher tax rate would reduce after-tax earnings even if the core bank performs well.

We watchUpdated effective tax rate guidance and any filing language on the tax law.
06 Quick answers

In one breath

What does Independent Bank Corp. do?

Independent Bank Corp. owns Rockland Trust, a community bank serving individuals, small businesses, and commercial clients. It earns most of its money from loans funded by deposits, plus fees from wealth management and banking services.

Why is INDB focusing on C&I loans?

C&I loans are tied to operating businesses and can deepen customer relationships. INDB is using C&I growth to reduce reliance on CRE, especially office loans and other real estate exposure it wants to lower.

What is the biggest risk for INDB stock?

The biggest risk is that office CRE credit problems take longer to clear or get worse. The October 2026 core system conversion is also important because a bad conversion could hurt customers, expenses, and deposit momentum.

Is INDB still doing bank acquisitions?

Management has said it is not focused on M&A right now. The current plan is to finish the Enterprise Bank integration, grow organically, and expand into Connecticut through a Hartford loan production office.
