Nova rides the next chipmaking shift

01 Running thesis

A small toolmaker near big chip shifts

Nova makes tools that measure chip wafers while they are being built. That sounds narrow, but it matters more when chips get harder to make. Gate-all-around, or GAA, changes the shape of transistor channels. Advanced packaging puts chips closer together after the wafer step. Both need tight measurement.

The bull case is that Nova is sitting near those two spending waves. Management said its plan for $500M of GAA revenue by the end of 2026 remains on track. It also says advanced packaging is now edging toward the mid-20s of product revenue, aided by faster-than-expected hybrid bonding adoption. A 400 basis point market share gain in film and critical dimension metrology in 2025 adds to the momentum.

Nova is also using its balance sheet more actively. The company has a $1.6B cash war chest for acquisitions and a formal target to reach $1B USD in revenue by 2027. That target depends on both organic tool wins and good M&A execution, starting with its Sentronics deal.

The stock is not priced like a broken business, so execution matters. China is expected to stabilize at 25 to 30 percent of the business long-term. Visibility into next year has improved, but new supply chain cost pressures tied to higher chip prices have emerged. Tariffs remain a mild headwind to gross margins.

May 2026Q1 2026 results showed a structural update to the revenue mix, with Memory jumping to 34 percent. Faster-than-expected hybrid bonding adoption and a 400 basis point market share gain strengthened the bull case.
Feb 2026Nova's FY2025 filing confirmed the January 2025 Sentronics acquisition and set a formal $1B USD revenue target by 2027. The filing also noted that the October 2025 ceasefire lowered active hostility risk in Israel.
Feb 2026Q4 2025 commentary improved the 2026 setup as management raised WFE expectations to low double digits. Nova also moved CMP metrology into front-end high-volume manufacturing for GAA.
Nov 2025Q3 2025 added proof points in memory and packaging. Advanced packaging reached about 20 percent of sales, WMC gained 3 customers, and the $750M convertible raise created a $1.6B cash war chest.
Aug 2025Q2 2025 lowered the expected tariff hit to about 20 basis points of gross margin. Management also said the $500M GAA revenue plan by the end of 2026 remained on track.
May 2025Q1 2025 kept the core growth story intact, with product revenue at about 75 percent logic and foundry and 25 percent memory. The update also added a tariff risk.
Feb 2025The 2024 filing added formal risk language about September 2024 U.S. Department of Commerce export restrictions. That matters because Nova has heavy China exposure.
Feb 2025Q4 2024 showed advanced packaging becoming material, more than doubling to 15 percent of product revenue. Sentronics was expected to add more reach in advanced wafer-level packaging.
02 Business model

Paid when fabs need tighter control

Nova sells dimensional, material, and chemical metrology systems to chipmakers. In plain English, these tools check tiny sizes, materials, layers, and chemistry while chips move through a factory. The main money comes from hardware platforms such as PRISM, VeraFlex, and ELIPSON.

The company also earns service revenue after tools are installed. Management is trying to shift services from time and materials work toward annual service contracts. That can make service revenue steadier, but it still depends on the size and use of the installed base.

Demand is tied to wafer fab equipment spending. When chipmakers build or upgrade fabs, Nova can sell more tools. When customers delay capacity plans, Nova feels it fast. China adds a special risk because the region is large for Nova, and trade rules can change what tools can be shipped.

04 Business segments

Memory mix catches up

Logic and foundry66%modest
Memory34%growing fast

As of Q1 2026, product revenue was 66 percent logic and foundry and 34 percent memory. Memory is expected to become more dominant driven by advanced DRAM.

05 Risk factors

What could break the setup

Supply chain cost pressures

Medium impact · High odds

Management noted in early 2026 that new supply chain risks are emerging. Cost pressure at the supplier level is rising, mainly tied to higher chip prices. This could squeeze margins if the company cannot pass costs to customers.

We watchWatch gross margin guidance and management comments on component costs.

China demand and export controls

High impact · Medium odds

Management expects China revenue share to stabilize in the 25 to 30 percent range long-term. U.S. export rules already target advanced semiconductor equipment end uses. A change in regulations could halt sales.

We watchTrack China revenue share and any new U.S. Department of Commerce rules on semiconductor capital equipment.

GAA ramp arrives late

High impact · Medium odds

A core part of the thesis is that GAA production ramps in 2026. Management says the $500M GAA revenue plan by the end of 2026 is on track. If customer ramps slide into later years, Nova could be right on technology but wrong on timing.

We watchWatch management updates on the $500M GAA target and second-half 2026 customer ramps.

M&A execution risk

Medium impact · Medium odds

Nova has a $1.6B cash war chest. That gives it power to buy growth, but deals can fail to integrate or miss sales targets. Sentronics is the first clear test of this plan in advanced packaging.

We watchWatch Sentronics cross-selling and whether future acquisitions add real customer wins.

Margin pressure from tariffs

Low impact · Medium odds

Management expects tariffs to act as a mild headwind to gross margins. More tariffs or higher logistics costs could make the drag larger over time.

We watchWatch gross margin guidance and commentary on tariff impacts.
06 Quick answers

In one breath

What does Nova Ltd. do?

Nova sells metrology tools for semiconductor manufacturing. Metrology means measuring tiny chip features, materials, and layers so fabs can keep production on target.

Why does GAA matter for Nova?

GAA chips use a newer transistor design that is harder to build and measure. Nova says its plan for $500M of GAA revenue by the end of 2026 remains on track.

How exposed is Nova to China?

Management expects China revenue to stabilize in the 25 to 30 percent range long-term. This keeps export rules and local demand visibility important.

What is the Sentronics deal supposed to add?

Sentronics adds backend wafer metrology tools for advanced wafer-level packaging. The deal should help Nova sell more into advanced packaging.
